CONNECTIONS TEXT - TERMS OF SERVICE

At Connections Text, a solution provided by CHESS Mobile Health, Inc., d/b/a CHESS Health (“CHESS”, “we” or “us”), our goal is to connect with and support individuals facing the risks and challenges associated with of substance use disorder. Connections Text enables you to engage with individuals that have lived experience (“peers”) with what you are going through and have overcome similar challenges. With their experience, training, and connection to recovery services, there are multiple ways they can support you. We want you to feel supported cared for through this process and to provide you, if you’re interested, with the resources to help you obtainhelp you accessget into treatment and/or needed and get you the support you need. Part of feeling supported is to understand what we do, what we do not do, and how we handle the information and data you share with us.

ACCEPTANCE OF THESE TERMS

Through Connections Text, we aim to help individuals facing the challenges of associated with substance use disorder by making connections with others that have lived experience that can share their story and provide appropriate resources and tools to provide identify a path forward.

Before using or accessing the text messaging- or telephone-based Connections Text service operated by CHESS (the “Services”), please read the following. By accessing or using the Services, or by otherwise engaging with the Services, you hereby agree to these Terms of Service (“Terms of Service” and our privacy policy (“Privacy Policy”; and, together with the Terms of Service, the “Terms”) described below.

These Terms govern your access and use of the Services, describe what information we collect through the Services, and explain how we use, transfer and store that information. These Terms will inform you if and to whom we disclose any of that information, and what choices you have in how we use that information. We hope that knowing how and why we use information will help you make an informed choice about using the Services. If you do not agree to these Terms, you may not use the Services.

Please text us or seek immediate help. If you no longer wish to receive messages from us, you may opt out at any time by texting the word STOP. You may opt back in by texting the Services again at any time.

CONSENT; CHANGES TO THESE TERMS

We care about you and are conscious that the Services we provide have a real world impact on your life. We are mindful of how these Terms are applied and how Connections Text works, and we are constantly reviewing these Terms to ensure that they are current. These Terms may be modified or changed from time to time. Any changes will be effective immediately upon our posting them to our website at www.cxtext.info. This means that the version that you see when you click that link will always be the current version. Continuing to use the Services after we have modified or changed the Terms will mean that you accept the revised Terms.

Each time that you start a new conversation thread with Connections Text more than 90 days since the last conversation thread ended, you will receive a text message with a link to the most current version you will receive an automated reply text message with a link to the most current version of our Terms so you may review them before continuing to use the Services. Use of the Services after receiving those text messages will mean that you accept the Terms then in effect.

SCOPE OF SERVICES

Our Services are designed to help you face the challenge of substance use disorder by making connections with others that have lived experience that can share your story and provide appropriate resources and tools to provide a path forward. We aim to be a support mechanism to help you find a path forward to a treating provider.

Our Services are not professional therapeutic services and are not meant to serve as a substitute for the same. Use of our Services does not, under any circumstances, create or imply a physician-patient relationship, a therapist-patient relationship, a therapist-client relationship, an attorney-client relationship, or any other sort of confidential relationship between a provider of professional services and an individual receiving those services. The Services are not a substitute for professional health care, mental health treatment, psychiatric care, or therapy of any kind. If you believe you are experiencing a medical emergency, you should immediately call your doctor or 911. If you are experiencing a clinical or long-term issue, you should consult a medical professional. We will provide support and recommendations, where warranted, but you control your actions, reactions, words, and the ultimate decision as to your treatment providers and your relationship with those providers is up to you.

Use of the Services is limited to the scope outlined in these Terms. You further agree not to communicate with our team outside of the Services in order to protect their privacy and safety.

DISCLAIMER

CONNECTIONS TEXT EXISTS TO SUPPORT PEOPLE IN CRISIS, AND IS NOT A SUBSTITUTE FOR PROFESSIONAL HEALTH CARE, MENTAL HEALTH TREATMENT, PSYCHIATRIC CARE, OR THERAPY OF ANY KIND. ALL INFORMATION IS FOR INFORMATIONAL PURPOSES ONLY AND IS NOT INTENDED AS PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. CHESS DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. IN NO EVENT WILL CHESS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR INDIRECT DAMAGES.

RISKS; USE OF SERVICES

You assume all risk for use of the Services. Neither CHESS nor any of our employees, contractors, volunteers, agents, service providers, or any other entities with whom we have contracted shall have any liability for or in connection with (1) actions taken or not taken by you or a third party during, after, or as a direct or indirect result of your use of the Services; or (2) the unavailability of the Services. You agree to indemnify us and hold us harmless for damages arising out of (A) your use of the Services; (B) your breach of these Terms; (C) your violation of the law; (D) claims asserted by third parties that you are in breach of these Terms; or (E) information provided by you to CHESS.

The Services are provided on an “as is” and “as available” basis. CHESS and its service providers expressly disclaim all warranties of any kind, whether express or implied, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Without limiting the above, CHESS and its service providers make no warranty that CHESS will (A) meet your requirements; (B) be uninterrupted, timely, secure, or error-free; or (C) meet your expectations. The foregoing disclaimers of liability apply to all damages or injury, including those caused by any failure of performance, error, omission, interruption, deletion, defect or delay in operation or transmission, whether for breach of contract, tortious behavior, including negligence, or any other cause of action.

PROHIBITED USES; RIGHT TO TERMINATE ACCESS

You agree to use our Services only for lawful and legitimate purposes and in accordance with these Terms. You agree not to use the Services:

  1. in any way that violates any applicable federal, state, local, or international law or regulation;
  2. for the purpose of exploiting, harming, or attempting to exploit or harm minors in any way;
  3. to threaten, harass, or otherwise inappropriately abuse CHESS, its employees, partners, agents, contractors, volunteers, or others;
  4. to send, knowingly receive, upload, download, use, or re-use any content which does not comply with these Terms;
  5. to "spam," gather or attempt to gather personal information belonging to users or others for the purposes of spamming, marketing, selling to third parties, or otherwise abusing CHESS, our Services, or our users;
  6. to impersonate or attempt to impersonate another person or entity;
  7. to engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm CHESS or users of the Services, or expose them to liability;
  8. to copy, adapt, decompile, reverse engineer, attempt to discover the source code of or make derivative works of the Services or any portion of the Services; or
  9. to otherwise attempt to interfere with the proper working of CHESS or the Services.

CHESS reserves the right to terminate your access to the Services if you violate these Terms, including doing anything on the list above. CHESS further reserves the right to terminate the Services or your access to them for any other reason, at our sole discretion. CHESS may unilaterally terminate your access to the Services. We also may adjust your access if we determine that you would be better served by a different kind of support.

THIRD PARTY SERVICE

If you contact us through a third party service (e.g., website, application, or service), then both CHESS and the third party that runs such third party service may have access to the content of messages you share and your information may be shared between us and that third party. By way of example, if location information is shared, we and the third party may use your location information to contact emergency services in an emergency.

These Terms only apply to you and CHESS. We are not responsible for, and make no representations regarding, the policies or practices of any third party service. If you contact us through a third party service, you are subject to these Terms as well as the terms and policies of the third party service. We encourage you to review the terms and policies of any third party service to understand how that entity will provide services to you and to use your data. If you do not wish to be subject to a third party service’s policies or practices, do not use such a service to contact Connections Text.

PRIVACY POLICY

If you are like most people, you want your personal information protected, perhaps especially any clinical information. This section of the Terms is our Privacy Policy, and will describe:

If you respond to text messages we send to you as part of the Connections Text service, then, as described above, you have agreed to the Terms, including this Privacy Policy. You are giving us consent to store your data and you consent to everything in the Privacy Policy. We will update the Privacy Policy from time to time; you can always read it on our website.

The data about you that will be captured and stored by CHESS

We will store your name, cellphone number, and the messages you send to us and the messages we send to you, including the content of these messages. If you call us, we will store the date and time and duration of our phone conversations with you.

If we make a referral for you to a provider or other organization, we will store the referral details and any updates we get back from the receiver of the referral, if the referral was electronically communicated to them via CHESS’ eIntervention solution or other platform we might use.

Who has access to this data

CHESS has access to this data. Any provider to whom we refer you to and to whom we send a referral message/communication will also have access to the specific data in the referral.

Who else might get access to the data

CHESS may disclose your data to other organizations when (1) required to by law, such as to comply with a subpoena, or similar legal process; or (2) when we believe in good faith that disclosure is necessary to protect our rights, protect your safety or the safety of others, investigate fraud, or respond to a government request.

Where your data is stored

CHESS stores your data on secure Amazon Web Services (“AWS”) servers. You can learn more about AWS and how it helps us protect your information here: https://aws.amazon.com/compliance/hipaa-compliance/.

How we protect and secure your data

We are committed to safeguarding the confidentiality of your data. We provide physical, electronic, and procedural safeguards to protect information we process and maintain. For example, we limit access to this information to authorized employees and contractors who need to know that information in order to operate, develop or improve the Connections Text program. In addition, CHESS employs a variety of technical safeguards to protect the confidentiality, integrity, and availability of your data including encryption of the data in transit and at rest and other industry best practices. Please be aware that, although we strive to provide reasonable security for information we process and maintain, no security system can prevent all potential security breaches.

What to do if you want your identifiable data erased or deleted

If you want your identifiable data erased or deleted, please contact privacy@chess.health.

OUTSIDE REFERRALS

Sometimes, we may refer you to another hotline or program. If you wish to have such a referral made, we will give you the contact information of the referral, but we will not give them your contact information. It is up to you if you wish to use the referral. If you would like to receive support from other services, please note that different rules may apply to their use or disclosure of your data. We do not control the privacy policies or terms and conditions of others. We encourage you to ask questions before you disclose your information or data to others.

GENERAL PROVISIONS

Choice of Law and Venue. These terms shall be governed by the laws of the State of New York and each party hereby consents to the jurisdiction of any state or federal court located in the State of New York.

Severability. If a particular term is not enforceable, the unenforceability of that term will not affect any other terms.

Entire Agreement. These Terms constitute the entire agreement between you and CHESS, superseding any other written or oral agreements or understandings.
